Acceptance of Terms

By creating a COSI account, downloading the COSI app, or otherwise accessing any part of the COSI platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

In these terms, “COSI”, “we” and “us” mean COSI, currently operated by Noah Sullivan in Quebec, Canada. If COSI becomes an incorporated or registered business, that business will take over these terms and our obligations to you, and we’ll let you know.

If you do not agree to these terms, you must not use COSI. We may update these terms from time to time. We’ll notify you in the app or by email at least 30 days before an important change takes effect, explaining what’s changing. If you don’t agree, you can cancel your subscription and delete your account before the change applies; continuing to use COSI after that date means you accept the updated terms.

You must be at least 16 years of age to use COSI. By using the platform, you represent that you meet this requirement.

02

Description of Service

COSI is an Ambient Comfort Intelligence platform that combines body signals from your wearable, readings from your room, and your own feedback to automatically adjust your surroundings — including temperature, lighting, and sound — to keep you in your personal comfort zone.

COSI's services include, but are not limited to:

Most features require compatible third-party devices (for example a smart thermostat, AC controller, smart lights or a wearable) that you buy and maintain yourself. COSI does not make or sell hardware today. COSI depends on these companies’ services and does not guarantee the availability of any specific third-party integration.

03

Account Registration

To use COSI, you must create an account using a valid email address. You agree to:

You may not create more than one account per person, or create an account on behalf of someone else without their explicit consent.

COSI reserves the right to refuse registration or cancel accounts at our discretion, including for violations of these terms.

04

Subscription & Payments

COSI offers three plans:

Current prices are shown in the app and in the App Store or Google Play before you subscribe, in your local currency and including any applicable taxes.

All billing is processed through the Apple App Store or Google Play, depending on where you subscribe. By subscribing, you authorise the store to charge your payment method on a recurring basis (monthly or annual, depending on your selected plan). You manage and cancel your subscription in your App Store or Google Play account settings.

Cancellation: You may cancel at any time in your App Store or Google Play subscription settings (in COSI, Profile → Subscription opens them). Your paid access continues until the end of your current billing period. No further charges will be made after cancellation.

Refunds: Refunds are handled by Apple or Google under their refund policies; COSI cannot issue them directly. If you cancel mid-cycle, you keep paid access until your billing period ends. If you have a problem with a purchase, contact us at hello@cosicomfort.com and we will help.

COSI reserves the right to change pricing with at least 30 days' advance notice to active subscribers.

05

Acceptable Use

You agree not to misuse COSI's platform. Prohibited activities include:

COSI may investigate and take appropriate action — including account suspension or termination — for any violation of these acceptable use policies.

06

Intellectual Property

COSI owns the platform. All content, software, algorithms, designs, trademarks, and proprietary technology within COSI — including the comfort scoring system, learning models, and user interface — are owned by or licensed to COSI and protected by applicable intellectual property laws.

You own your personal data. Your physiological data, environmental readings, comfort preferences, and any personal information you provide remains yours. COSI's use of this data is governed exclusively by our Privacy Policy.

You grant COSI a limited, non-exclusive licence to use your data solely to provide and improve the services described in our Privacy Policy. We will never sell your personal data to third parties.

07

Disclaimer of Warranties

COSI is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, COSI disclaims all warranties, including:

COSI is a comfort optimisation tool, not a medical device. Do not use COSI as a substitute for professional medical advice, diagnosis, or treatment.

08

Limitation of Liability

To the maximum extent permitted by applicable law, COSI and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, or loss of goodwill — arising out of or in connection with your use of COSI.

In any case, COSI's total cumulative liability to you for any claim arising under these terms shall not exceed the greater of: (a) the amount you paid COSI in the 12 months preceding the claim, or (b) $10 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, COSI's liability is limited to the fullest extent permitted by law. Nothing in these terms limits rights you have as a consumer that cannot be waived by contract, including under Quebec's Consumer Protection Act.

09

Termination

COSI may suspend or permanently terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms of Service, engaged in fraud or illegal activity, or if required to do so by law.

You may delete your account at any time from Profile → Delete Account. Your account and personal data are then deleted as described in our Privacy Policy. Deleting your account does not cancel a store subscription: cancel it in your App Store or Google Play settings.

Provisions of these terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and governing law — will survive.

10

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles.

Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada. If you are a consumer in a jurisdiction that provides additional statutory rights, those rights are not affected by this clause.

We aim to respond to all legal inquiries within 5 business days.

12

Indemnification

You agree to defend, indemnify, and hold harmless COSI (including its operator, Noah Sullivan) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

COSI reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.

13

Force Majeure

COSI shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, actions of governmental authorities, internet or power outages, third-party service failures (including Firebase, the Apple App Store, Google Play, RevenueCat, or Anthropic infrastructure), or other events outside COSI's reasonable control.

In such circumstances, COSI's obligations will be suspended for the duration of the force majeure event. We will notify affected users as soon as reasonably practicable and will use reasonable efforts to resume service as soon as the event allows.

14

Dispute Resolution

We encourage you to contact us first at hello@cosicomfort.com before initiating any formal dispute. We will make good-faith efforts to resolve any disagreement within 30 days.

Informal resolution. Most concerns can be resolved quickly by email. This step is a prerequisite before any formal proceeding.

Governing law and jurisdiction. If informal resolution fails, disputes shall be governed by the laws of the Province of Quebec, Canada, as set out in §10. Both parties consent to the exclusive jurisdiction of the courts of Quebec for any dispute not resolved informally.

Class action waiver. This waiver does not apply to consumers in Quebec or anywhere else such waivers are not allowed. Otherwise, to the extent permitted by applicable law, you agree to bring claims against COSI only in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

Notwithstanding the above, nothing in this section limits your right to seek injunctive or other equitable relief in any court of competent jurisdiction, or to file a complaint with a consumer protection authority.

15

Automatic Control & Device Safety

COSI can switch devices on and off and change their settings for you, including heaters, air conditioners, fans and smart plugs. You stay responsible for how your devices are set up and used.

16

App Store & Google Play

If you got COSI from the Apple App Store or Google Play, these terms are between you and COSI, not Apple or Google. Apple and Google have no obligation to provide maintenance or support for COSI and are not responsible for addressing claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. Your use of the app must also follow the store’s own terms (for Apple, the Usage Rules in the Apple Media Services Terms).
